1. Agreement to Terms

By accessing or using services provided by Brandcode10 LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms & Conditions. If you do not agree, you may not use our services.

2. Services

Brandcode10 LLC provides software development and design services, including:

  • Custom website design and development
  • Mobile application development (iOS, Android, cross-platform)
  • Logo design and brand identity creation
  • UI/UX design and consulting
  • Cloud architecture and scripting/automation
  • Website maintenance and support

The scope of each project will be defined in a separate project proposal or statement of work (“SOW”) agreed upon by both parties.

3. Service Agreement

Each project agreement will specify the scope, deliverables, timeline, milestones, and payment schedule. Work begins only after both parties have agreed to the SOW.

4. Intellectual Property

Upon full payment, the client receives ownership of all custom-created deliverables specified in the SOW, including custom code, designs, and graphics. Brandcode10 LLC retains the right to reuse proprietary tools, frameworks, and code libraries developed independently. Projects may include third-party components (plugins, fonts, open-source libraries) that remain subject to their respective licenses.

5. Payment Terms

A deposit is typically required before work begins. For larger projects, payments may be structured around milestones as detailed in the SOW. Final payment is due upon project completion and before delivery of final files. Invoices are due within 15 days of issuance. Late payments may incur a fee of 1.5% per month on the outstanding balance, and we reserve the right to pause work on overdue accounts.

6. Client Responsibilities

Clients agree to provide requested content, assets, and feedback in a timely manner, designate a primary point of contact, and ensure all provided materials do not infringe on third-party rights. Delays caused by late client responses may result in adjusted timelines.

7. Confidentiality

We respect your confidentiality and will not disclose your proprietary information to third parties without your consent, except as required by law.

8. Warranties & Disclaimers

Services are provided “as is” with no warranties beyond those specified in individual project agreements. We do not guarantee uninterrupted or error-free operation of delivered software.

9. Limitation of Liability

To the maximum extent permitted by law, Brandcode10 LLC shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid by the client for the specific project giving rise to the claim.

10. Termination

Either party may terminate a project with 14 days’ written notice. The client is responsible for payment for all work completed up to the termination date. Completed deliverables will be provided upon full payment.

11. Governing Law

These Terms & Conditions are governed by the laws of the State of Montana, United States. Any disputes shall be resolved in the courts of Flathead County, Montana.

12. Changes to Terms

We may update these Terms & Conditions at any time. Changes take effect immediately upon posting. Continued use of our services constitutes acceptance of the updated terms.
