Terms of Service
Last updated: 3 October 2026
These terms cover two things: how you may use this website, and the general conditions under which Brandcode10 LLC (“Brandcode10”, “we”, “us”) does work for clients. For each project, a signed Statement of Work sets the specific scope, price and schedule. Where a Statement of Work and these terms differ, the Statement of Work wins for that project.
1. Using this website
You may browse this site and contact us through it for any lawful purpose. You may not scrape or copy substantial parts of it, probe or attack it, or use it to send us anything unlawful. The design, text, code and images on this site belong to us or our licensors; client logos and screenshots in our work section are shown with permission.
2. How a project starts
Every engagement begins with a written Statement of Work that lists the deliverables, the timeline, the price, the payment schedule and who the lead on each side is. Work starts when both parties have signed it and any deposit has been received. Anything not in the Statement of Work is a change request: we will quote it in writing before doing it, and nothing is added to the bill without your written agreement.
3. Payment
- Projects are billed as a deposit followed by milestone payments as set out in the Statement of Work. The deposit is typically 25–50% of the project price.
- Invoices are due within 30 days unless the Statement of Work says otherwise.
- Balances more than 30 days overdue accrue interest at 1% per month (12% per year), which is within the rate Montana law allows by written agreement. We may pause work on a project with an overdue balance after giving written notice.
- Third-party costs bought on your behalf (domains, hosting, licences, app store fees, advertising spend) are passed through at cost and are payable as incurred.
- Prices exclude any tax you are required to pay in your jurisdiction.
Refunds are covered by our Refund Policy.
4. What you need to provide
Projects depend on you as well as us. You agree to name one person who can make decisions and give approvals, to provide content, access and feedback within the times set in the Statement of Work, and to confirm that any material you give us is yours to use. If your side is delayed, the schedule moves by the same amount and we may need to re-plan the work around other commitments.
5. Reviews and acceptance
We show working software or finished design, not slides, at regular demos. Each milestone includes the number of revision rounds stated in the Statement of Work (two unless it says otherwise). A deliverable is accepted when you approve it in writing, or when ten business days pass after delivery without a written list of problems. Acceptance of a milestone does not stop us fixing genuine defects in it later, as described in section 8.
6. Who owns what
- Your work product. Once a project is paid in full, everything we made specifically for you — designs, code, written content, brand assets — is yours. Until then we keep ownership and you have a licence to use the delivered work for review.
- Our tools. We keep the rights to tools, libraries, components and methods that existed before your project or that we built to use across projects. You get a perpetual, non-exclusive licence to use them inside your deliverables.
- Open source and third-party components stay under their own licences, which we will identify in the handover.
- Your materials. Everything you give us stays yours. You give us permission to use it only to do the work.
- Portfolio. We may name you as a client and show the public parts of the work in our portfolio, unless the Statement of Work says we may not, or you ask us in writing not to.
7. Confidentiality
Each side will keep the other’s non-public information confidential, use it only for the project, and protect it with reasonable care, both during the engagement and for three years after it ends. This does not cover information that is already public, that a party already had, or that must be disclosed by law. We will sign a mutual non-disclosure agreement on request.
8. Warranties and support
We warrant that our work will be done with professional skill and care and will match the Statement of Work in all material respects. For thirty days after a deliverable is accepted we will fix, at no charge, any defect that makes it fail to match the Statement of Work. Beyond that, support and maintenance are available under a separate agreement.
We do not warrant that software will be free of every error, that it will work with systems or services we did not build or that change after delivery, or that any marketing, search or content work will produce a particular business result. EXCEPT AS STATED IN THIS SECTION, THE WORK IS PROVIDED WITHOUT ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
9. Limits on liability
To the extent the law allows, our total liability to you for anything arising out of a project is limited to the fees you paid us for that project. Neither party is liable to the other for indirect or consequential losses, such as lost profit, lost data or lost business, even if told they were possible. Nothing in these terms limits liability that cannot be limited by law.
10. Ending a project
Either side may end a project with fourteen days’ written notice. You then pay for all work completed and all third-party costs committed up to the end date, and we hand over everything completed and paid for, in its current state. Either side may end a project immediately if the other seriously breaches these terms and does not put it right within fourteen days of being asked.
11. Governing law
These terms and every Statement of Work are governed by the laws of the State of Montana, United States. Disputes that cannot be settled between us will be brought in the state or federal courts located in Flathead County, Montana, and both sides accept that jurisdiction. If you are a consumer with non-waivable rights under the law where you live, those rights still apply.
12. Changes to these terms
We may update these terms. The date at the top shows the current version. Changes apply to new Statements of Work signed after that date; projects already under way continue under the terms they started with unless both sides agree otherwise.
